1. Introduction 1. 简介

Ginkgo Health Inc. (“Ginkgo Health”, “Ginkgo” “we”, “us” or “our”) provides digital healthcare content, functionality and other products and services to you when you visit ginkgo.health (the “Website”) or use the Ginkgo mobile application (the “App”) (collectively, the “Service”). Please read these terms and conditions carefully before using the Service. If you are accepting these terms and conditions for another person, such as an incapacitated adult, you agree to these terms and conditions on behalf of that person, and all references to “You” refer to that person. By accessing or using the Service, you agree to be bound by these Terms and Conditions (this “Agreement”). Ginkgo Health has the right to accept or reject any applicant for the Service, in its sole and complete discretion. 通过访问或使用服务，您即同意受本条款与条件（本“协议”）的约束。Ginkgo Health 有权自行完全决定接受或拒绝任何服务的申请人。

2. Authorized User 2. 授权用户

An Authorized User refers to a family member that you invited to hold secondary accounts within your Family Account where you are the Family Account Owner. Except for the term of Subscription Payment, any account of an Authorized User is entitled to receive the same Service as your Family Account. You can invite up to three Authorized Users into your Family Account, and all Authorized Users receive the same Service as you through their secondary accounts. As the Family Account Holder, you have the right to add or remove an Authorized User, with or without the knowledge of other Authorized Users on your Family Account. 授权用户是指您邀请在您的家庭账户中持有附属账户的家庭成员，您是该家庭账户的所有者。除订阅付款的条款外，授权用户的任何账户均有权获得与您的家庭账户相同的服务。您最多可以邀请三名授权用户加入您的家庭账户，所有授权用户通过其附属账户获得与您相同的服务。作为家庭账户所有者，您有权添加或移除授权用户，无论您的家庭账户上的其他授权用户是否知情。

By accessing or using the Service through his or her secondary account, an Authorized User agrees to be bound by all the terms of this Agreement in the same manner as you. 授权用户通过其附属账户访问或使用服务，即表示同意以与您相同的方式受本协议所有条款的约束。

3. Scope of Service 3. 服务范围

The Service provides a variety of content, products, and services, which may include, as applicable, health assessments, personal exercise recommendations, training sessions, activity logging, health education, and gamified in-app incentives. 服务提供各种内容、产品和服务，可能包括（如适用）健康评估、个人运动建议、训练课程、活动记录、健康教育以及应用程序内的游戏化激励。

The Service does not provide medical services, advice, diagnosis or treatment, and is not a substitute for any professional medical services, advice, diagnosis or treatment. You should always consult with your doctor or other qualified healthcare professional if you have any questions about a medical condition, or before taking any drug, changing your diet, or commencing or discontinuing any course of treatment. Do not ignore or delay obtaining professional medical advice because of information accessed through the Service. If you have or think you may have any serious health conditions, do not use the Service and contact your doctor right away for further medical evaluation. As a condition to use of the Service, you agree that you will not use the Service in a manner inconsistent with (i) this Agreement, or (ii) any and all applicable laws and regulations. 作为使用服务的条件，您同意不会以不符合以下规定的方式使用服务：(i) 本协议，或 (ii) 任何及所有适用的法律和法规。

4. Your Ginkgo Account and Your Use of the Service 4. 您的 Ginkgo 账户及服务使用

It is your responsibility to provide Ginkgo Health with true, accurate, and complete information related to your account, including email address and contact information, and to maintain and promptly update any changes to this information. It is your responsibility to maintain the confidentiality and security of your account credentials, and you are fully responsible for all activities that occur under your account. You agree to immediately notify Ginkgo Health of any unauthorized use of your account. The following actions are expressly prohibited in relation to your account used to obtain the Service: 严禁就获取服务的账户采取以下行为：

Your use of the Service and any content accessed through the Service must comply with all applicable laws, regulations, and ordinances, including any laws regarding the export of data or software. The Service is owned by Ginkgo Health. We grant to you, for your personal purposes only, a non-exclusive, limited and revocable right to access and use the Service during the term of this Agreement, so long as you comply with the terms of this Agreement. Nothing contained within the Service should be construed as granting, by implication, estoppel, waiver, or otherwise, any license or right of use to any trademark displayed on or through the Service without the written permission of Ginkgo Health or the third-party owner of the trademark, if any. You also understand and agree that any and all comments, suggestions, ideas or feedback (collectively, “Feedback”) you provide to Ginkgo Health about the Service or any Ginkgo Health products or offerings, including how to improve them, is or becomes the exclusive property of Ginkgo Health, including any associated rights to such Feedback. 6. The Right to Update the Terms 6. 更新条款的权利

Ginkgo Health reserves the right to update and amend this Agreement in its sole discretion. Any amendments to this Agreement will be effective immediately upon posting of the amended Terms and Conditions on the Service or the Website. You agree to review this Agreement periodically, and you will remain bound by the terms and conditions of this Agreement so long as you continue to access and use the Service. 7. Subscription Payment 7. 订阅付款

• Non-refundable:不可退款： Your subscription will be non-refundable once the payment has been made, and your subscription cancellation will be in effect starting on the next billing interval. 您的订阅在付款后将不可退款，您的订阅取消将从下一个计费周期开始生效。
• Monthly Subscription:月度订阅： Ginkgo Active is a subscription service, and you are required to pay Ginkgo Active’s subscription fee in effect on an interval basis depending on your subscription type for your continued access to its functionalities. • Payment Information:付款信息： You are responsible for providing and updating Ginkgo with valid payment information details for timely payment of subscription fees. 8. Disclaimer of Warranty, Limitation of Liability 8. 免责声明与责任限制

GINKGO HEALTH DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES WITH REGARD TO THE INFORMATION, SERVICES AND MATERIALS CONTAINED ON THE SERVICE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. YOU ACKNOWLEDGE AND AGREE TO THAT, TO THE MAXIMUM EXTENT NOT PROHIBITED BY LOCAL LAW, NONE OF GINKGO HEALTH OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICE OR THE INFORMATION, SERVICES, AND MATERIALS CONTAINED THEREIN ASSUMES ANY LIABILITY OR RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION, SERVICES, AND MATERIALS PROVIDED ON THE SERVICE. THEY ALSO SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE SERVICE FOR ANY REASON. You agree to indemnify, defend, and hold harmless of Ginkgo Health and its suppliers and their respective affiliates, employees, officers, directors, agents, and representatives of each from any third-party liability, loss, claim, suit, damage, and expense (including reasonable attorneys' fees and expenses), arising out of or relating to or in any way connected with (i) your access to or use of the Service, including any and all features, functionality, tools, content and promotions available on and through the Service, (ii) any interactions with any other person as a result of your use of the Service, (iii) your breach of the Terms or the documents incorporated therein, including any violation of national, federal, state or local or other applicable laws, rules or regulations or any infringement or misappropriation of the rights of any third party, and (iv) your gross negligence or willful misconduct. 您同意对 Ginkgo Health 及其供应商及其各自的附属机构、员工、高级职员、董事、代理人和代表进行赔偿、辩护，并使其免受因以下情况引起或与之相关或以任何方式相关的任何第三方责任、损失、索赔、诉讼、损害和费用（包括合理的律师费和费用）：(i) 您访问或使用服务的行为，包括在服务上及通过服务可用的任何及所有特性、功能、工具、内容和促销活动；(ii) 因您使用服务而与任何其他人的任何互动；(iii) 您违反本条款或其中纳入的文档，包括任何违反国家、联邦、州或地方或其他适用法律、规则或法规的行为，或对任何第三方权利的任何侵犯或挪用；以及 (iv) 您的重大过失或故意不当行为。

If you have not signed a separate written agreement with Ginkgo Health related to the Service, this Agreement, along with the Privacy Policy posted on the Website, is the entire agreement between you and Ginkgo Health related to the Service, replacing any prior agreements. If there is any conflict between this Agreement and a signed written agreement between you and Ginkgo Health related to the Service, this Agreement will control. If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions of the Agreement remain in full force, provided that the essential terms and conditions of this Agreement remain valid, binding and enforceable and the economic and legal substance of the transactions contemplated by the Agreement are materially preserved. You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions, without Ginkgo’s prior written consent.
